Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Docket, ("Docket", "we", "us"), and govern your access to and use of the Docket service at scopedocket.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using Docket on behalf of an organization, you represent that you have authority to bind that organization.

1The Service

Docket is a scope-change management tool. Studios, freelancers, and agencies ("Customers") create projects, collect change requests, assess timeline and cost impact, and record client approvals. Clients ("Client Users") submit and approve requests through links shared by a Customer, generally without an account. Docket generates timestamped, IP-stamped, cryptographically signed records of those decisions for the Customer's project log.

2Accounts and eligibility

• You must provide accurate registration information and verify your email address.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must be at least 18 years old and able to form a binding contract.
• Notify us promptly at hello@scopedocket.com of any unauthorized use.

3Plans, billing, and trials

• Docket offers a Free plan and paid plans (e.g. Pro) with different active-project limits and features, as described on our pricing page. Plan details and prices may change; we will give notice of material changes.
• Paid subscriptions are billed in advance on a recurring basis through Stripe and renew automatically until cancelled.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
• If a payment fails or you exceed your plan limits, we may suspend paid features or restrict access until the issue is resolved.

4Your content

You and your Client Users retain all rights to the data, files, and content you submit ("Customer Content"). You grant Docket a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate and provide the Service. You are responsible for your Customer Content and for having the rights and permissions necessary to submit it and to collect data from your Client Users.

5Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party rights;
• Upload malware, or attempt to breach, probe, or disrupt the Service or its security;
• Reverse engineer, resell, or use the Service to build a competing product;
• Send spam or unlawful communications, or impersonate others;
• Exceed, circumvent, or interfere with rate limits, plan limits, or access controls.

6Nature of approval records

Docket records that a particular email address approved a particular statement at a particular time, and signs that record. This is a documentation and evidentiary aid only. Docket does not provide legal advice, and a record created in the Service is not a substitute for a signed contract, change order, or legal counsel. We make no representation that any record will be admissible, binding, or enforceable in any jurisdiction. You are responsible for your own contracts and for how you rely on these records.

7Third-party services

The Service relies on third parties including Stripe (payments), Resend (email), and cloud storage providers. Your use of those features may be subject to their terms, and we are not responsible for third-party services.

8Intellectual property

The Service, including its software, design, and trademarks, is owned by Docket and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

9Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnity) will survive. You may export your data, where the feature is available, before terminating.

10Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCKET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

12Indemnification

You will indemnify and hold harmless Docket from any claims, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

13Governing law and disputes

These Terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-laws rules. The courts located in [Governing Jurisdiction] will have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring a claim elsewhere.

14Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice. Continued use of the Service after an update constitutes acceptance of the revised Terms.
